Lawyers must have a profound understanding and precise grasp of their clients' core demands. When talking about the cases that left a deep impression on her, Lawyer Wang Yiping said with emotion. A complex dispute case involving a South Korean cosmetics company that she represented was recently selected as a "Typical Case of Foreign-related and Hong Kong, Macao and Taiwan Commercial Trials of Nantong Court (2021-2024)" and a "Typical Case of Optimizing the Legal Business Environment of Nantong Intermediate People's Court".

This case is intertwined with multiple disputes including commercial, administrative registration and intellectual property rights, with the core lying in the confirmation of shareholders' qualifications. The client is a well-known Korean beauty brand. After establishing a wholly foreign-owned enterprise in the Chinese mainland, it entrusted a domestic partner to serve as the legal representative and senior executive of this enterprise (the target company). However, this partner forged the equity transfer agreement and, by taking advantage of his status as the legal representative and senior executive, transferred all the equity of the target company to the name of the Hong Kong company under his control. After discovering this, the client filed a lawsuit with a domestic court, requesting to confirm itself as the sole shareholder of the target company and demanding that the Hong Kong company fulfill its obligation to assist in the change.

The difficulty of the case lies in that although the client's signatures and seals on the agreement were all forged, the other party provided a large number of communication records with the client's legal representative regarding the "equity transfer", attempting to prove that there was a genuine transfer agreement between the two parties. The written agreement was merely a formal document required for the change registration process.

At the deadlock, after a meticulous investigation, she captured a decisive fact: the signing time stipulated in the equity transfer agreement indicated that the Hong Kong company acquiring the equity had not yet completed its establishment registration with the Companies Registry of Hong Kong. Therefore, in terms of legal subject qualification, it is simply impossible for a South Korean company to reach an agreement on equity transfer with a non-existent "Hong Kong company". This key point put the other party in a very passive position during the trial. Ultimately, the Nantong Intermediate People's Court ruled in favor of the client in the first instance, while the Jiangsu Higher People's Court upheld the original judgment in the second instance.

In the interview, Lawyer Wang Yiping also shared a rather representative financial dispute case. The twists and turns in it profoundly interpreted the value of accurately grasping the demands of clients. The client is a fund company. Through the private equity investment fund it established, it obtained the equity of the target company by means of capital increase. Upon the expiration of the investment period, the client filed a lawsuit against the repurchase obligor, demanding that the other party fulfill the repurchase obligation as agreed to achieve the exit of the fund.

The court of first instance held that the investment was "equity in name but debt in nature", determined the nature of the investment funds as a "loan", and ruled that the defendant should return the principal and interest of the loan. Although the client has received full compensation in terms of amount, this determination conceals significant risks: if a private equity investment fund has engaged in the act of granting loans, it implies that the investment poses significant compliance risks, and the client will face the dual risks of regulatory penalties and investor claims, with consequences that are hard to bear. During the second instance, the two sides engaged in a fierce debate over the nature of the funds - whether they were "loans" or "equity investment funds". Ultimately, the second-instance court held that the agreement in question was not a contract of a single nature. Although the repayment amount was maintained, it corrected the first-instance court's determination of the nature of the funds, thereby successfully defusing a significant compliance risk for the client.

When it comes to this case, Lawyer Wang Yiping has a deep feeling: "Compared with traditional civil and commercial cases, financial disputes are often more complex and special." As a lawyer, one must accurately perceive and deeply understand the core demands of the client in order to find a truly effective way to break the deadlock.
