(II) Mergers and Acquisitions Category

1. Provided full-process legal services for the transaction project of Rentokil Initial PLC, a listed company on the London Stock Exchange, acquiring three domestic target companies (including equity acquisition and asset acquisition), conducted legal due diligence, carried out transaction negotiations, drafted transaction documents and assisted in the closing, with a total transaction consideration of approximately 100 million yuan.

2. Represented Shanghai Electric Wind Power Group Co., LTD. (SH.688660) in transferring 100% equity of two wind farm project companies, with a total transaction consideration of 1.15 billion yuan. Review and revise the transaction documents of the acquirer, participate in negotiations, and issue legal opinions on the equity transfer matters of the two project companies.

3. Provided full legal services on behalf of a leading pet food company in Shanghai for the acquisition of an electronic business company, conducting legal due diligence, negotiating the transaction, drafting transaction documents and assisting in the closing, with a total transaction consideration of approximately 50 million yuan.

4. Provided specialized legal services for the backdoor listing (reorganization) project of the real estate sector of a Fortune 500 state-owned enterprise, and issued a reorganization plan and legal opinion.

5. Provided full-process legal services for the domestic subsidiary reorganization project of a certain German photovoltaic module manufacturer, and issued the merger plan and reorganization transaction documents.

Represented the fund under Shanghai Science and Technology Innovation Group to invest in a certain servo driver research and development company, providing legal due diligence and investment transaction services.

1. Represented a Nasdaq-listed company in providing Chinese legal opinions regarding the compliance investigation initiated by the U.S. Securities and Exchange Commission (SEC) against Chinese concept companies.

2. Provided specialized legal services for a listed company's data compliance project, conducted legal due diligence on the company's current data compliance status, issued a specialized legal opinion, and offered corresponding compliance rectification suggestions.

3. Provided specialized legal services for the compliance project of employee performance reform of a listed company, issued the group's performance reform plan, and guided the group company and its subsidiaries to hold the staff congress and carry out performance assessment work in compliance.

4. Represented a certain international trade company in handling customs administrative investigation and penalty cases, successfully helping the client significantly reduce the fine amount and avoid being blacklisted by the customs.

Ii. Representative Litigation and Arbitration Cases

(1) Equity disputes category

Represented the Jiangsu Higher People's Court in the second instance of a Pre-IPO enterprise equity transfer dispute case with a disputed amount of approximately 350 million yuan. Successfully obtained a reversal of the judgment, helping the client reduce the liability for breach of contract compensation.

2. Represented a domestic red-chip structure company in a dispute over an overseas financing contract (China International Economic and Trade Arbitration Commission), with a disputed amount of 20 million US dollars.

3. Represented a retrial case of a gambling dispute involving an investment company under the jurisdiction of the Shanghai Higher People's Court, with a disputed amount of 35 million yuan.

(2) Disputes over sales contracts

Represented a Chilean company in an international goods sales contract dispute case, successfully helping the client terminate the sales contract and quickly recover the advance payment and liquidated damages.

2. Represented a certain wine industry group in a sales contract dispute case and helped the client quickly recover the accounts receivable.

3. Represented a company under Shanghai Electric Group in the second instance of a sales contract dispute.

4. Represented a certain company under Shanghai Electric Group in an arbitration case of a sales contract dispute (Shanghai International Arbitration Center). The arbitration tribunal supported all of our arbitration requests and achieved a favorable ruling.

(3) Disputes over intellectual property rights and franchise rights

Represented a multinational company and a listed company in a dispute over infringement of trade secrets under the jurisdiction of the Shanghai Higher People's Court, with a disputed amount of approximately 200 million yuan.

2. Represented a wholly-owned subsidiary of a listed company from Taiwan in a dispute over a commissioned creation contract, successfully helping the client obtain a favorable judgment.

3. Represented a wholly-owned subsidiary of a listed company in the United States in a franchise contract dispute case, with the disputed amount being approximately 5 million yuan.

(4) Contracts for Work and construction projects

Represented a listed state-owned enterprise in a dispute over a contract for work, with the disputed amount being approximately 20 million yuan.

2. Represented a listed state-owned enterprise in a construction project contract dispute case and successfully helped the client obtain a favorable judgment.

(V) Private lending and lease Contracts

I represented an international freight forwarder in a loan contract dispute case, with the disputed amount being approximately 5 million yuan. I successfully helped the client recover the principal and interest of the loan.

2. Represented a certain heat exchanger company in a dispute over a house lease contract, successfully helping the client reduce the liability for breach of contract.

(6) Labor arbitration

Represented a listed company and its subsidiaries in a large-scale labor dispute case (involving multiple labor contract disputes in Shanghai, Shenzhen, Xi 'an, Wuhan, Chengdu and other places), and won the ruling dismissing all the claims of multiple employees, significantly reducing the company's labor cost expenditure.

2. Represented a domestic subsidiary of a listed company in the United States in a labor dispute case and successfully helped the client obtain a favorable judgment.

(VII) Execution

We represented a creditor in a case involving the enforcement of a mortgage right on real estate, providing full enforcement services for 191 properties held by the creditor in Nantong. The value of the involved properties exceeded 50 million yuan. We helped the client auction off more than half of the properties and successfully achieved effective cash recovery.

2. Represented a wholly-owned subsidiary of a listed company in the United States in an enforcement case of recovering accounts receivable, successfully recovering over 2 million US dollars in outstanding debts.

3. Represented a subsidiary of Shanghai Electric Group in the enforcement case of recovering accounts receivable.
